Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Proveli Hub (the “Application”), an internal software platform developed and operated by Proveli Brands (“Proveli,” “we,” “us,” or “our”). By signing in to or otherwise using the Application, you agree to be bound by these Terms. If you do not agree, do not use the Application.

1. About This Application

Proveli Hub is an internal, work-related application. It is developed and operated by Proveli Brands solely for use by its authorized employees and contractors across its family of brands and departments. The Application is not offered to the general public and is not a consumer product. Its sole purpose is to provide a single, secure sign-in through which authorized personnel are routed to the specific internal tools and applications assigned to their role, department, or brand.

2. Eligibility & Account Access

Access to the Application is restricted to current employees and contractors of Proveli Brands who have been granted access by an administrator. Accounts are authenticated through our identity provider (including Google Sign-In) and managed by our authentication provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must not share your login credentials with anyone else, including other employees.

3. Acceptable Use

The Application is provided strictly for legitimate, work-related purposes. You agree that you will not use the Application for any malicious, unlawful, harmful, fraudulent, or unauthorized purpose. Without limiting the foregoing, you agree not to:

  • Attempt to gain unauthorized access to any account, system, or data not assigned to you;
  • Probe, scan, or attempt to bypass or defeat any authentication or security mechanism;
  • Introduce malware, or otherwise interfere with or disrupt the integrity or performance of the Application;
  • Scrape, harvest, or extract data from the Application other than through the features provided to you;
  • Reverse-engineer, decompile, or attempt to derive the source code of the Application;
  • Use the Application for any purpose unrelated to your employment or engagement with Proveli Brands.

Violation of this section may result in immediate suspension or termination of your access, and may be reported to your manager, Human Resources, or, where applicable, law enforcement.

4. Intellectual Property

The Application, including its design, code, and content, is the property of Proveli Brands and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Application except the limited right to use it for its intended internal purpose during your employment or engagement.

5. Third-Party Services

The Application relies on trusted third-party service providers to operate, including Clerk (authentication) and Google (identity verification via Google Sign-In). These providers process limited account information solely to authenticate your identity. Your use of the Application is also subject to the applicable terms of these providers.

6. Termination of Access

Your access to the Application is tied to your employment or contractor relationship with Proveli Brands. Access will be revoked upon termination of that relationship, or sooner if we determine, in our discretion, that continued access poses a risk to Proveli Brands or violates these Terms.

7. Disclaimer of Warranties

The Application is provided “as is” and “as available” for internal use. Proveli Brands makes no warranties, express or implied, regarding the Application’s availability, reliability, or fitness for a particular purpose.

8. Limitation of Liability

To the fullest extent permitted by law, Proveli Brands shall not be liable for any indirect, incidental, or consequential damages arising from your use of, or inability to use, the Application.

9. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Application or our practices. The “Last updated” date above indicates when these Terms were last revised. Continued use of the Application after changes take effect constitutes acceptance of the revised Terms.
